Comprehensive Guide to Incorporating a New Firm in Lebanon

Step 1: Engage a Lebanese Lawyer

Every new company must retain a lawyer annually. As of January 2013, the Beirut Bar Association has set the minimum annual retainer at LBP 9,000,000.

Step 2: Capital Deposit in a Bank

Once you’ve signed and notarized the articles of association, you can deposit the capital in a bank.

Step 3: Register at the Company Registry

To register your firm at the Commercial Court’s company registrar, submit the necessary documents and pay the required fees.

Step 4: Notify the Ministry of Finance

Within two months of registration, inform the Ministry of Finance about your business operations commencement for income tax and VAT registration.

Step 5: Register at the National Social Security Fund (NSSF)

Register new employees at the NSSF regional office closest to your company premises. This process involves both “Registration” and “Confirmation” steps.

Step 6: File Internal Labor Regulations with the Ministry of Labor

If your company employs 15 or more, you’ll need to submit internal labor regulations to the Ministry of Labor as per Art. 66 of the Labor Code.

Step 7: Register for VAT

Get your VAT certificate of registration at the VAT Department. This department operates independently from the tax department, and registration is free of charge.

Step 8: Obtain a Company Seal

Although not legally required, most companies opt for a company seal. You can order one from any seal-making company.
